About Us

Legal counsel built for online business transactions

Ecommerce Law Group is a boutique law firm that specializes in assisting entrepreneurs and investor groups with buying and selling highly successful ecommerce businesses, including physical product, dropshipping, lead generation and software as a service (SaaS) businesses.

Overview of the Process

Every deal and business is different, but the big picture process is generally the same.  Here’s what you can expect when working with us:

Step 1

Introductory Consult

Nice to meet you!  We’ll consult on the specifics of your deal – we’ll discuss the business, the deal terms and how we can help.

Step 2

Engagement + Onboarding

Once you decide that you’d like to engage us, our team will prepare our engagement letter, guide you through our engagement process and we’ll get you onboarded to our firm and introduce you to the team that will be helping you close your deal.

Step 3

Negotiate Agreements

We’re a full service law firm, meaning we’ll take you from LOI through closing and escrow.  Our fee includes all of our services relating to representation within the transaction – representation of party, prepare/review, negotiate and revise the main purchase agreement and all deal-related ancillary documents, assisting with searches, assisting with closing formalities, conducting closing services and providing escrow services.

Step 4

Closing

We’ll also assist with the closing process – that may mean different things depending on the deal, but we’ll generally help you get to the finish line.

Step 5

Escrow

We’ll also help with the escrow setup process and escrow releases, depending on the deal.  Once funds are disbursed from escrow and the deal has been funded, we’re fully funded and closed.  Congratulations!

What does an ecommerce lawyer do when an online business is bought or sold?
